• System Interference: Attempting to gain unauthorized access to any portion of the Site, any server, or any systems connected to the Site
• Malicious Code: Uploading or transmitting viruses, malware, spyware, or any other malicious code that may compromise the functionality of the Site or harm other users
• Data Mining: Using automated tools, bots, scrapers, or similar data-gathering and extraction methods to collect information from the Site without our express written consent
• Harassment: Harassing, threatening, intimidating, or abusing any Giordanos employee, representative, or other user
• Spam: Sending unsolicited commercial communications to other users or using our Services to distribute spam
• Intellectual Property Violations: Reproducing, distributing, modifying, or creating derivative works from any content on our Site without prior written authorization
• Circumvention: Attempting to bypass any security measures, access controls, or technological restrictions on the Site
• False Reviews: Submitting false, misleading, or defamatory reviews or feedback about our products or Services
• Illegal Activities: Using our Services to engage in any activity that violates any applicable federal, state, or local law or regulation, including the Federal Trade Commission Act (FTC Act) and applicable consumer protection statutes

Violation of any of the above prohibited activities may result in immediate suspension or termination of your account, cancellation of pending orders, and, where applicable, referral to law enforcement authorities.

4. Account Registration

Certain features of our Services may require you to create an account. When you register, you agree to provide truthful, accurate, and complete information. You are solely responsible for maintaining the confidentiality of your password and for all activities under your account. Giordanos will not be liable for any loss or damage arising from your failure to comply with this security obligation.

We reserve the right to refuse registration, cancel accounts, or remove content at our sole discretion, particularly if we believe a user has violated these Terms or engaged in fraudulent behavior.

5. Intellectual Property Rights

All content available on or through the Site, including but not limited to text, graphics, logos, images, icons, audio and video clips, digital downloads, data compilations, menus, recipes, software, and the overall design and appearance of the Site (collectively, "Content"), is the exclusive property of Giordanos or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Giordanos name, logo, and all related product names, design marks, and slogans are trademarks or service marks of Giordanos. You may not use any of our trademarks, trade names, or service marks without our prior written consent. All other trademarks not owned by Giordanos that appear on the Site are the property of their respective owners.

Subject to your compliance with these Terms, Giordanos grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its Content solely for personal, non-commercial purposes. This license does not include the right to:

• Commercially exploit any Content from the Site

All prices for food items and Services displayed on our Site are quoted in United States Dollars (USD) and are subject to applicable sales taxes, delivery fees, and service charges where applicable. We reserve the right to change prices at any time without prior notice. Pricing errors are subject to correction prior to the confirmation of your order.

6.2 Payment Methods

We accept various payment methods as indicated on our Site at the time of checkout, which may include major credit cards, debit cards, and other electronic payment methods. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge the full order amount to that payment method.

6.3 Order Confirmation

An order is not confirmed until you receive an official order confirmation from us via email or on-screen notification. We reserve the right to cancel or refuse any order at any time for reasons including but not limited to product availability, errors in product description or pricing, or concerns about fraud.

6.4 Refunds and Cancellations

In general, once a food order has been prepared, it may not be eligible for cancellation or refund, except in cases of incorrect orders or food quality issues. 6.5 Taxes

You are responsible for paying all applicable taxes associated with your orders. Giordanos will collect and remit sales taxes as required by applicable state and local law in the United States.

7. Delivery and Pickup

Delivery times are estimates and are not guaranteed. Various factors, including weather conditions, traffic, and high order volumes, may affect delivery timelines. Giordanos shall not be liable for delays in delivery that are outside of our reasonable control.

You are responsible for providing a complete and accurate delivery address. Giordanos is not responsible for orders delivered to incorrect addresses as a result of inaccurate information provided by you. If a delivery is unsuccessful due to circumstances within your control (e.g., no one available to receive the order at the provided address), additional delivery fees may apply for re-delivery attempts, or the order may be canceled without a refund.

For pickup orders, you are responsible for collecting your order within the designated pickup window. Giordanos is not responsible for orders not collected within the specified time.

8. Food Safety and Allergen Notice

Giordanos takes food safety seriously and complies with all applicable federal and state food safety regulations, including standards established by the U.S. Food and Drug Administration (FDA) and applicable state health departments. However, we cannot guarantee that any food item is entirely free from allergens, including but not limited to gluten, nuts, dairy, eggs, shellfish, soy, and wheat.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIORDANOS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM THE USE OF THE SITE OR SERVICES
• WARRANTIES REGARDING ANY THIRD-PARTY SERVICES, CONTENT, OR LINKS ACCESSIBLE THROUGH THE SITE

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIORDANOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GIORDANOS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL GIORDANOS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO GIORDANOS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

The limitations and disclaimers in this section do not purport to limit liability or alter your rights in any way that cannot be excluded under applicable law. Because some jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitation or exclusion of liability for incidental or consequential damages, in such states, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Giordanos and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use of the Site or Services in a manner not authorized by these Terms
• Your violation of any applicable law, regulation, or third-party rights, including intellectual property rights and privacy rights
• Any content you submit, post, or transmit through the Site
• Your negligence or willful misconduct
• Any fraudulent payment activity conducted through your account

Giordanos reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with Giordanos in the defense of any such claim. You agree not to settle any such claim without the prior written consent of Giordanos.

14. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Giordanos operates, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Giordanos agree to submit to the personal and exclusive jurisdiction of the courts located within the applicable state jurisdiction of Giordanos's principal place of business in the United States. You hereby waive any objection to such courts based on improper venue or inconvenient forum.

These Terms are also subject to applicable federal law, including the Federal Trade Commission Act (15 U.S.C. § 45), which prohibits unfair or deceptive acts or practices in commerce, and other applicable federal consumer protection statutes.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Giordanos directly at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any concerns or complaints within thirty (30) days of receiving written notice of the dispute.

15.2 Binding Arbitration

If the dispute is not resolved informally within thirty (30) days, you and Giordanos agree to resolve any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or the Services through binding arbitration, rather than in court, except as set forth in Section 15.4 below.

The arbitration shall be conducted by a recognized arbitration body in accordance with its rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. The arbitration shall take place in the United States, in the state where Giordanos maintains its principal place of business, or via a mutually agreed upon remote proceeding.

15.3 Class Action Waiver

YOU AND GIORDANOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Giordanos agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Exceptions

Notwithstanding the arbitration agreement above, either party may seek emergency equitable relief in court to maintain the status quo pending arbitration. Additionally, claims of intellectual property infringement may be brought directly in court without first engaging in arbitration or the informal dispute resolution process.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with Giordanos. We reserve the right, in our sole discretion, to:

• Suspend or terminate your access to the Site and Services at any time, with or without notice
• Terminate or suspend your account for violation of these Terms or any applicable law
• Refuse service to any person or entity for any reason or no reason, consistent with applicable law
• Delete your account and all associated data, subject to our Privacy Policy obligations

You may terminate your account at any time by contacting us at [email protected] with a request for account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including any payment obligations for orders already placed.

Provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitation of liability, dispute resolution, and governing law provisions.

17. Changes to Terms

Giordanos reserves the right to revise, amend, or update these Terms of Service at any time in its sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where required by applicable law or where we deem it appropriate, provide notice through other means such as email notification or a prominent notice on our Site.

Your continued access to or use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must immediately cease using our Site and Services and, if applicable, close your account.

18. Severability

No waiver by Giordanos of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Giordanos to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Giordanos on the Site, constitute the entire agreement between you and Giordanos with respect to your use of the Site and Services. This Agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the same subject matter.

In the event of any conflict between these Terms and any other agreement you may have with Giordanos, these Terms will control unless such other agreement expressly and specifically states that it supersedes these Terms.

21. Force Majeure

Giordanos shall not be held liable for any failure or delay in performance of our obligations under these Terms where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, labor disputes, supply chain disruptions, internet outages, power failures, or any other event beyond our reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, we will make reasonable efforts to notify affected customers and resume normal operations as soon as practicable.

22. Electronic Communications

By using our Site and Services, you consent to receive electronic communications from Giordanos.
